The Terms of Service contained herein (the "Terms") govern your use of certain Services (defined below) provided by Dialectica Ltd., a company incorporated in England and Wales (No. 09605745), located at 28 Margaret Street, London W1W 8RZ, or any of its subsidiaries and other affiliated companies (referred to hereafter as "we," "our," or "Dialectica") through its website, available at https://originsnapshot.dialecticanet.com/, or any other websites, mobile applications, and other delivery mechanisms that may be offered by Dialectica from time to time (referred to hereafter as the “Site”). By accessing or otherwise engaging with the Site and its Services, or by clicking to accept or otherwise accepting these Terms, You ("You," "User," or "Customer") acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy Policy, which can be found at dialecticanet.com/privacy-policy and is incorporated herein by reference. Should You not concur with these Terms, You must refrain from using the Site or accessing any of the Services.

These Terms govern Your use  “Origin by Dialectica” (“Origin”), including but not limited to requesting Snapshot service, encompassing the processes for requesting, remitting payment for, and receiving company snapshots ("Services"). Detailed information regarding payment structures, pricing schedules, and delivery timelines is available on the Site. By assenting to these Terms, You acknowledge and accept these specific commercial particulars.


1.  Service Overview and Scope 

1.1 An Origin Snapshot is a company profile that includes both quantitative and qualitative data and insights. Created by Dialectica, upon Your specific request, its content is based on a triangulation of publicly available data, authorized private third-party sources, and consultations with market experts conducted by Dialectica. Origin Snapshots are exclusively intended for Your internal strategic and informational use and are not intended to replace professional advice.

1.2  By submitting a request for an Origin Snapshot via the Site, and upon Dialectica’s acceptance of Your request through successful payment processing, You enter into a legally binding agreement with Dialectica.


2. Use of the Site and Services

2.1 You covenant to use the Site and the Services exclusively for lawful purposes and strictly in accordance with these Terms.

2.2 You must be at least eighteen (18) years of age and legally competent to enter into a binding agreement to access or utilize the Services.

2.3 You agree to provide information that is accurate, current, and complete when using the Site and when submitting requests for company snapshots.

2.4 Your use of the Site and the Services are not intended, nor shall they be interpreted, to create any attorney-client or other professional-client relationship (e.g., investment or accounting relationships) between You and Dialectica. While the Services or other Site content, including but not limited to an Origin Snapshot, may concern legal, investment, accounting, financial or other issues that relate to professional services, such content is not, and should not be considered by You to be, legal, investment, accounting, financial or other professional advice. You should not act or refrain from acting on the basis of any such content without seeking legal or other professional advice as applicable. Dialectica hereby disclaims all liability in connection with actions taken or not taken based on such content or otherwise in connection with the Site or Services. You therefore, acknowledge and agree that the Site and Services are not provided as legal, investment, accounting, financial or other professional advice.


3. Submission Protocol, Fees, and Payment Terms

3.1 Submission of Request: Requests are submitted through the Site along with details regarding, among other things, the company or industry about which an Origin Snapshot is requested, the company’s website URL, and other information that may be requested through the Site presently or in the future. Dialectica reserves the right to assess the scope and feasibility of any request and to accept or reject such requests at its sole discretion, including for reasons such as potential conflicts of interest, prior to its commencement.

3.2 Pricing and Payment: Fees are communicated with transparency prior to checkout on the Site. Full payment is required before the initiation of Services. All payments are final and non-refundable unless expressly mandated by law or otherwise mutually agreed upon in writing.

3.3 Delivery: Origin Snapshots are delivered digitally, either via secure download or email, contingent upon the specifications confirmed at checkout. Estimated delivery times are indicative only and are subject to change.
3.3.1 Dialectica will make best efforts to ensure the accuracy and timely delivery of the Origin Snapshot but does not guarantee the absolute accuracy or completeness of the information provided therein.
3.3.2 Dialectica shall not be liable for delays in delivery attributable to factors beyond our reasonable control, including, but not limited to, issues with data sources, interruptions of third-party services, or technical difficulties.


4. Ownership, License, and Permitted Use

4.1 All intellectual property rights, including but not limited to copyright and proprietary rights, in and to the Site, the Origin Snapshot and all associated content, are, and shall remain exclusively vested in Dialectica.

4.2 Upon delivery of an Origin Snapshot, You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Origin Snapshot solely for Your internal business purposes.

4.3 You shall not, under any circumstances:Reproduce, alter, publish, sublicense, or distribute the Origin Snapshot or any portion thereof;Incorporate it into public-facing materials or commercial reports;Share it with any third party without explicit prior written authorization from Dialectica.

4.4 The names "Dialectica” and “Origin”, along with their respective logos, terms and all related names, logos, product and service names, designs, and slogans (collectively, the “Marks”), are trademarks of Dialectica. You may not use any of these Marks without prior written permission from Dialectica. All other names, logos, product and service names, designs, and slogans displayed on the Site are trademarks of their respective owners and are protected under EU and international trademark and unfair competition laws.


5. Confidentiality Obligations

5.1 You acknowledge and agree that all content contained within the Origin Snapshot is confidential and proprietary to Dialectica. Disclosure is strictly restricted to authorized personnel within Your organization who are bound by equivalent confidentiality undertakings.

5.2 Any unauthorized dissemination or use of the Origin Snapshot shall constitute a material breach of these Terms and may result in legal liability.


6. Exclusions and Limitations of Liability

6.1 The Origin Snapshot is provided on an "as-is" basis, without warranties of any kind, whether express or implied.

6.2 Dialectica makes no representations or guarantees regarding:The completeness, accuracy, or currency of the Origin Snapshot;Its fitness for any particular purpose; orAny reliance placed thereon for business or investment decisions.

6.3 To the fullest extent permitted by applicable law:
6.3.1 Dialectica disclaims all indirect, incidental, special, or consequential liabilities, including, but not limited to, loss of profit, loss of data, or other financial loss, arising from Your use of the Site or the Services.
6.3.2 The total aggregate liability of Dialectica for any damages or losses resulting from Your use of the Site or Services shall be limited to the amount paid by You for the specific Origin Snapshot giving rise to the claim.


7. Indemnification

7.1 You agree to indemnify, defend, and hold harmless Dialectica, its affiliates, directors, employees, agents, and licensors from and against any and all claims, damages, losses, and expenses, including reasonable attorney fees, arising from Your use of the Site or Services, or Your violation of these Terms.


8. Data Processing 

8.1 Your personal data will be collected, stored, and processed in strict accordance with applicable data protection legislation, including, but not limited to, the UK Data Protection Act 2018 and the General Data Protection Regulation (GDPR).

8.2 Detailed information concerning Dialectica's data use practices and Your rights regarding Your personal data is available within the Privacy Policy on the Site. By using the Services, You acknowledge that You have been informed and understand how Dialectica collects, uses and processes Your personal data as necessary for the performance of these Terms and in accordance with  the Privacy Policy.


‍9. Termination

9.1 Dialectica reserves the unequivocal right to suspend or terminate Your access to the Site and Services at its sole discretion, including, but not limited to, instances where You violate any of these Terms or engage in fraudulent, abusive, or unlawful behavior.

9.2 Upon termination, all provisions of these Terms that by their inherent nature should survive termination shall remain in full force and effect, including, but not limited to, intellectual property rights, limitation of liability, and indemnification clauses.


10. Changes to the Terms

10.1 Dialectica reserves the right to modify or update these Terms at any given time. Any such changes will be promptly posted on the Site, and the updated Terms shall become effective immediately upon their posting.

10.2 It is Your responsibility to periodically review these Terms to remain apprised of any amendments.


11. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

11.2 You agree to submit to the exclusive jurisdiction of the courts of England for any disputes arising out of or in connection with these Terms, unless the parties mutually agree otherwise.


12. Entire Agreement and Acceptance

12.1 These Terms constitute the entire agreement between You and Dialectica regarding Your access to and use of the Origin Snapshot service and the specific transaction associated therewith initiated and processed through this Site. They supersede all prior communications and proposals solely related to the Services obtained via this Site. For clarity, any prior communications or agreements concerning other Dialectica products or services not covered by these Terms (including those formalized under separate agreements) remain unaffected.  In the event of a conflict between these Terms and any other valid and active agreements You may have with Dialectica, as applicable to the Services subscribed to hereunder, these Terms shall prevail. Any variations to these Terms must be in writing and signed between You and Dialectica. 

12.2 Should any provision of these Terms be determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Dialectica’s forbearance in enforcing any provision of these Terms shall not constitute a waiver of that provision.
